The ProviderSource portal and all related products or services are intended for use by licensed physicians and other certified healthcare professionals. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Use License

a. Permission is granted to temporarily download one copy of the materials (information or software) on Medversant's ProviderSource website for viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

i. modify or copy the materials;
ii. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
iii. attempt to decompile or reverse engineer any software contained on Medversant's ProviderSource website;
iv. remove any copyright or other proprietary notations from the materials; or
v. transfer the materials to another person or "mirror" the materials on any other server.



b. This license shall automatically terminate if you violate any of these restrictions and may be terminated by Medversant at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

c. The ProviderSource portal and all related products or services are intended for use by licensed physicians and other certified healthcare professionals. By using the ProviderSource portal, you assert that you are a licensed physician or other certified healthcare professional.

3. Data Ownership and Maintenance

Any information, documents or data supplied by you is solely owned by you. This data will be used to provide the services requested by you. Medversant reserves the right to any data generated by Medversant business processes and products or any other data not explicitly provided by you.

4. Disclaimer

The materials on Medversant's ProviderSource website are provided "as is." Medversant makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Medversant does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.

5. Unsolicited Idea Submission Policy

Medversant Technologies, LLC or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new promotions, new or improved products or technologies, product enhancements, processes, materials, marketing plans or new product names. Please do not submit any unsolicited ideas, original creative artwork, suggestions or other works (“submissions”) in any form to Medversant or any of its employees. The sole purpose of this policy is to avoid potential misunderstandings or disputes when Medversant’s products or marketing strategies might seem similar to ideas submitted to Medversant. If, despite our request that you not send us your ideas, you still submit them, then regardless of what your letter says, the following terms shall apply to your submissions.

a. Terms of Idea Submission: You agree that: (1) your submissions and their contents will automatically become the property of Medversant, without any compensation to you; (2) Medversant may use or redistribute the submissions and their contents for any purpose and in any way; (3) there is no obligation for Medversant to review the submission; and (4) there is no obligation to keep any submissions confidential.

b. Product Feedback: Medversant does, however, welcome your feedback regarding many areas of Medversant’s existing business. If you want to send us your feedback, and we hope you do, we simply request that you send it to us using the form found at http://www.providersource.com/contact, or you can choose from the many other listed areas for your feedback. Please provide only specific feedback on Medversant’s existing products or marketing strategies; do not include any ideas that Medversant’s policy will not permit it to accept or consider. It’s just one more way that Medversant can learn how to best satisfy your needs.

c. Feedback and Information: Any feedback you provide at this site shall be deemed to be non-confidential. Medversant shall be free to use such information on an unrestricted basis.

6. Limitations

In no event shall Medversant or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on Medversant's Internet site, even if Medversant or a Medversant-authorized representative has been notified orally or in writing of the possibility of such damage.
